1. General

PS Online Styling Ltd provides an online platform that connects Sellers with Buyers seeking to sell and/or buy secondhand bridal items (collectively, the “Services”). The Services are accessible through written communication with PS Online Styling Ltd, at [website URL] and any other websites through which PS Online Styling Ltd makes the Services available (collectively, the “Site”) and any applications for mobile, tablet, and other smart devices and application program interfaces which PS Online Styling Ltd makes available (collectively, the “Platform”).

In these Terms and Conditions, “you” or “your” means any unregistered user of the Platform or any Member of the Platform, as the context requires. If you are using the Platform, these Terms and Conditions are between you and PS Online Styling Ltd ("PS Online Styling", "us" or "we").

Nothing in these Terms and Conditions obliges PS Online Styling Ltd to make the Services available at any time or by any technological or direct means.

These Terms and Conditions incorporate our Privacy Policy and any other Policies, including the Seller Policy and the Buyer Policy, displayed on the Site or otherwise communicated by PS Online Styling Ltd from time to time to Members.

In the event of inconsistency, these Terms and Conditions prevail over any Policies.

THE SITE AND SERVICES COMPRISE AN ONLINE PLATFORM WHERE SELLERS MAY CREATE SALES LISTINGS FOR GOODS AND BUYERS MAY LEARN ABOUT AND PURCHASE GOODS FROM SELLERS VIA PAYPAL OR OTHER PAYMENT METHODS. PS ONLINE STYLING LTD DOES NOT OWN THE GOODS. PS ONLINE STYLING LTD IS NOT A PARTY TO ANY SALE AND/OR PURCHASE OF GOODS BETWEEN MEMBERS AND HAS NO CONTROL AND DOES NOT VERIFY THE SUITABILITY OR RANKING OF THE MEMBER; THE TRUTH OR ACCURACY OF MEMBER CONTENT; SALES LISTINGS; ABILITY OF SELLERS TO SELL GOODS, OR ABILITY OF BUYERS TO PAY FOR GOODS. PS ONLINE STYLING LTD DISCLAIMS ALL LIABILITY IN THIS REGARD TO THE MAXIMUM EXTENT PERMITTED BY LAW.

WARNING: COMPLIANCE WITH LAWS, FEES AND CHARGES

MEMBERS ARE WHOLLY RESPONSIBLE FOR ENSURING THAT THEIR USE OF THE PLATFORM AND SALES AND/OR PURCHASE OF GOODS COMPLY WITH APPLICABLE REGULATIONS, LAWS, AND THIRD-PARTY AGREEMENTS.

YOU WILL BE WHOLLY RESPONSIBLE FOR ANY ADDITIONAL FEES AND CHARGES INCURRED BY YOU IN CONNECTION WITH THE PLATFORM AND/OR SALE AND/OR PURCHASE OF THE GOODS (WHETHER ARISING DIRECTLY OR INDIRECTLY).

2. Terms of Service

The Platform is intended solely for persons who are 18 or older. Any access to or use of the Platform by anyone under 18 is expressly prohibited. By accessing or using the Platform, you represent and warrant that you are 18 or older.

By using the Platform, you agree to comply with and be legally bound by the terms and conditions of these Terms and Conditions of Service (“Terms”), whether or not you become a Member or user of the Services. These Terms govern your access to and use of the Platform and all Collective Content and constitute a binding legal agreement between you and PS Online Styling Ltd.

If you are entering into these Terms on behalf of any other person and/or entity, you warrant and guarantee that you have the full right and authority to do so. If you do not have such authority, all your Site, Services, and Platform activity will be considered a breach of these Terms.

If you do not agree to these Terms, you have no right to obtain information from or otherwise continue using the Platform.

3. Licence

By accepting these Terms, the Member is granted a limited, non-exclusive, and revocable licence to access the Platform in accordance with these Terms.

You agree to only use the Platform and Materials for their intended legal purposes and shall not use any or all of them to engage in any conduct that is unlawful, immoral, threatening, abusive, or in a way that is deemed unreasonable by PS Online Styling Ltd in its sole and unfettered discretion.

PS Online Styling Ltd may revoke, suspend or terminate the Member’s licence in its absolute discretion for any reason that it sees fit, including for breach of these Terms by the Member or any of its users, or where Member’s ratings are not considered acceptable by PS Online Styling Ltd. PS Online Styling Ltd will ordinarily advise the Member of any suspension or revocation; however, it is under no obligation to do so.

Your licence to access the Platform and Materials shall be ongoing unless terminated by PS Online Styling Ltd in accordance with these Terms.

4. Selling

When you list a product for sale on the Platform, you are agreeing to the following commission structure:

Commission Fee: PS Online Styling Ltd takes a 15% commission on the final sale price of any item sold through the Platform.
There is no listing fee to post a product for sale.

PS Online Styling Ltd reserves the right to modify this commission structure at any time. Any changes will be communicated in advance to Members.

5. Disclaimer

The content provided on the Platform is offered in good faith and on an "as is" basis. PS Online Styling Ltd makes no guarantees regarding the accuracy, reliability, or completeness of the information provided through the Platform or within the Collective Content.

You acknowledge that PS Online Styling Ltd is not involved in the agreements made between Sellers and Buyers. PS Online Styling Ltd is not a broker, agent, or insurer and does not have control over:

the content included in any Sales Listings;
the content in any Member-submitted materials;
the authenticity, condition, quality, safety, or legality of any Goods;
the truthfulness or precision of any descriptions or images associated with Goods;
any negotiations, discussions, or agreements between the Seller and Buyer;
any measurements confirmed by either Seller or Buyer;
the accuracy of the listed price or the suggested retail price of the Goods;
any agreed-upon price for the Goods;
the ability of Sellers to complete sales of Goods;
the ability of Buyers to purchase Goods;
the ability of Buyers to pay for Goods;
the ability of either the Seller or Buyer to finalize a transaction or return Goods.

PS Online Styling Ltd does not accept liability for these matters. All transactions are made at the Member’s own risk.

By creating an Account on the Platform, you confirm that your relationship with PS Online Styling Ltd is that of an independent Member, not as an employee, agent, partner, or joint venture. You operate on your own behalf, not on behalf of PS Online Styling Ltd. PS Online Styling Ltd does not control, nor does it have any authority over, your sale and/or purchase of Goods or related activities. As a Member, you agree not to represent yourself as being affiliated with PS Online Styling Ltd, unless explicitly permitted in writing by us.

While PS Online Styling Ltd may facilitate connections between Sellers and Buyers, the company does not endorse or verify any Seller, Buyer, Sales Listing, or the Goods being bought or sold. The matching process is based on the information provided by both Sellers and Buyers in their respective Accounts or search criteria. It is the responsibility of both parties to ensure that the information they provide is accurate, reliable, and up-to-date, and to inform the other party if any details change.

By using the Platform, you agree that any legal claims or issues arising from the actions or omissions of other Members or third parties will be limited to those parties alone. You will not attempt to hold PS Online Styling Ltd responsible for such actions. We encourage you to directly communicate with other Members to resolve any issues regarding Sales Listings or transactions. This limitation does not apply to a Seller’s claim against PS Online Styling Ltd concerning the handling of payments, as detailed in the "Warranty and Limitation of Liability" section.

In instances where PS Online Styling Ltd provides Policies for the sale and purchase of Goods, the company makes no warranties or guarantees regarding those Policies, and it is not responsible for enforcing them between Sellers and Buyers, unless otherwise specified.

6. Platform Intellectual Property

You acknowledge that the intellectual property rights in the Platform content, including but not limited to software, design, text, and graphics used on the Site, as well as the arrangement and presentation of these materials (the "Materials"), are either owned by PS Online Styling Ltd or licensed to it.

Without obtaining prior written consent from PS Online Styling Ltd, you are not authorized to modify, reproduce, store in a retrieval system, transmit, display, distribute, or otherwise use any of the Materials for commercial purposes.

You are prohibited from embedding or framing any of the Platform’s content in another website or platform without PS Online Styling Ltd's express written permission.

You may store a local copy of the content for personal use and view it offline, as well as print copies of the content solely for personal viewing, listing, or purchasing Goods, but for no other purpose.

The Platform, its Materials, and any promotional or business-related documents created by PS Online Styling Ltd are protected by intellectual property laws, including registered trademarks. You may not use any of PS Online Styling Ltd’s trademarks, logos, or other protected content without obtaining prior written consent.

7. Viruses and Security

PS Online Styling Ltd does not guarantee that the Platform’s content, files, or Collective Content is free from viruses or any other malicious code. It is your responsibility to scan any files for viruses or defects before downloading or accessing them.

You acknowledge that PS Online Styling Ltd is not responsible for any damages or losses caused by viruses, faults, or defects that may be transmitted through the Platform or its content. In any case where PS Online Styling Ltd is found liable, the company's liability will be limited to the cost of supplying the affected content again.

8. Registration

To participate in the Platform, you must create an Account, providing necessary information such as your name, email address, and a secure password. PS Online Styling Ltd recommends using a strong password (one that includes a combination of upper and lowercase letters, numbers, and special characters).

You may choose to link your PS Online Styling Ltd account to third-party accounts (e.g., Facebook). By doing so, you confirm that you are authorized to provide access to your third-party account and disclose login details to PS Online Styling Ltd.

You are responsible for maintaining the confidentiality of your password. Accounts are personal to each Member and may only be accessed by the individual or their authorized representatives. You agree to assume full responsibility for all activities that occur under your Account.

PS Online Styling Ltd reserves the right to accept or decline your registration at its discretion and may request additional information to verify your identity before proceeding with your Account creation.

9. Using the Platform

As a Member, you agree to the following:

You will comply with all applicable laws, third-party rights, these Terms, and any Platform policies.
Buyers will not fail to pay for Goods purchased unless there is a valid issue (e.g., difficulty contacting the Seller).
You will not submit false, inaccurate, or defamatory content.
You will not transfer your Account to another party.
You will respect all intellectual property rights of PS Online Styling Ltd and other third parties and will not post content that you do not own.

10. Commission Structure

The fee charged for using our Services is the Commission on Sales.

When you create a Sales Listing, you will be asked to provide information about the Goods. These Sales Listings will be publicly available via the Platform. Buyers can purchase your Goods based on the information you provide in your Sales Listing.

When submitting a request for a Sales Listing on the Platform, you will be required to supply payment information to PS Online Styling Ltd (or an authorized billing representative of PS Online Styling Ltd). This may include credit or debit card details ("Payment Information"). All Payment Information supplied will be retained and used by PS Online Styling Ltd in accordance with these Terms and the Privacy Policy.

You must ensure that the Payment Information you supply is accurate and complete. Failure to provide payment information as required may result in your request for a Sales Listing being rejected or your Account being suspended or terminated.

The commission charged by PS Online Styling Ltd is 15% of the final sale price of the Goods. All fees and charges shown on the Platform and identified in these Terms are in the relevant local currency (such as GBP, USD, AUD), inclusive of any applicable tax, unless otherwise stated.

If you cancel a Sales Listing after it has been created, you will not be entitled to a refund of any commission or fees.

11. Selling

As a Seller, you may create a Sales Listing for the Goods you wish to sell.

When listing Goods, the Seller acknowledges and agrees that:

You are responsible for the accuracy and content of the Sales Listing and the Goods offered.
You will provide details about the condition of the Goods, including a full description of the Goods and any defects or imperfections.
You must only list one item per Sales Listing and may not alter the listing to represent a different item.
You will upload clear and high-quality photographs of the Goods, including images of any defects or flaws.
You may not use copyrighted images without permission, nor post images that do not accurately represent the item being sold.
You will provide an accurate retail price for the Goods, excluding taxes and alterations.
You may not artificially inflate the retail price to increase the discount or raise the asking price, except to correct an error or to list an item at more than 90% of its retail price.
Your Sales Listing may take several hours to become searchable on the Platform.
Any Member Content that violates these Terms or any applicable Policies may be modified or removed at the discretion of PS Online Styling Ltd.
PS Online Styling Ltd charges a 15% commission on each successful sale made through the Platform. This is the only fee applicable for using the platform; there are no additional listing fees.
PS Online Styling Ltd reserves the right to remove or disable access to any Sales Listing at any time, without prior notice, for any reason.

12. Postage and Delivery

The Buyer acknowledges and agrees that:

The Buyer is responsible for all postage and delivery costs, including any insurance.
PS Online Styling Ltd recommends that the Buyer arrange appropriate insurance for the delivery of Goods, either with the Seller or directly through their own insurer.
PS Online Styling Ltd is not liable for any duties, taxes, delays, stolen Goods, or Goods lost in transit, as the contract for the sale and/or purchase of Goods is directly between the Seller and the Buyer.

13. Buying

The Buyer acknowledges and agrees that:

The Buyer is responsible for reviewing and understanding the details provided in the Sales Listing before committing to purchase Goods.
By purchasing Goods, the Buyer enters into a legally binding contract to complete the transaction.
PS Online Styling Ltd does not transfer legal ownership of Goods from the Seller to the Buyer; ownership is transferred directly between the Buyer and Seller upon completion of the transaction.

14. Your Obligations

Although PS Online Styling Ltd does not actively monitor communications between Sellers and Buyers, it reserves the right to remove any content that is deemed harmful, illegal, or in violation of copyright or privacy laws. You agree that you are solely responsible for complying with all laws, rules, regulations, and tax obligations that apply to your use of the Platform.

You further agree and warrant that:

All information provided to PS Online Styling Ltd (including payment and contact details) is accurate, complete, and up to date.
Any individual accessing or using the Platform through your Account is authorized to do so.
You comply with all relevant laws and regulations when creating Sales Listings and interacting on the Platform.
You will ensure that your login details and password are kept secure and confidential.
You will promptly notify PS Online Styling Ltd of any unauthorized use of your Account or any security breach.
You are responsible for any costs associated with your access to and use of the Platform, including internet access fees.
You are liable for any activity conducted on the Platform through your Account.

You agree that you will not:

Use the Platform in any way that may interfere with other users or customers or post content that defames, harasses, threatens, or offends any person.
Make fraudulent, speculative, or unauthorized inquiries, orders, or requests.
Use another person’s details without their permission or impersonate someone else.
Post or transmit obscene, defamatory, inflammatory, or pornographic material.
Use automated tools (such as robots or spiders) to index or retrieve any portion of the Platform.
Modify, adapt, or reverse-engineer any part of the Platform.
Remove any intellectual property notices from the Platform.
Use the Platform to engage in illegal activity, including tampering with or disrupting the Platform’s operations.
Violate any local, state, or national law or regulation.
Solicit Members to join third-party services or platforms that compete with PS Online Styling Ltd, without prior written consent.
Use the Platform or Collective Content for purposes outside the scope of these Terms.

15. Responsibility, Rights, and Modification of Member Content

PS Online Styling Ltd does not accept liability for any Member Content.

You are responsible for ensuring the accuracy, legality, and quality of any Member Content that you create or upload. By creating an Account, submitting a Sales Listing, or uploading any content, you grant PS Online Styling Ltd a worldwide, perpetual, royalty-free, transferable, sub-licensable license to use, copy, adapt, transmit, publicly perform, and display the Member Content.

PS Online Styling Ltd reserves the right to filter, modify, publish, or permanently remove Member Content at its discretion. While PS Online Styling Ltd strives to ensure the accuracy of the content available, it cannot be held responsible for any errors or omissions.

To the extent permitted by law, PS Online Styling Ltd accepts no liability for any loss of Member Content or for the reliance on information provided through the Platform.

16. Response Rating

Member responses are monitored by PS Online Styling Ltd. Ratings are used by PS Online Styling Ltd to assess the quality of the sale and/or purchase of Goods on the Platform and to inform other Members of your response rating. If a Member fails to maintain a minimum response rate of 80% and/or fails to keep their average response time under 72 hours, PS Online Styling Ltd may suspend a Sales Listing, restrict an Account, or terminate that Member’s use of the Platform.

17. Termination

These Terms are effective from the moment you access the Platform and will remain in effect until terminated in accordance with these Terms.

Members may terminate their access to the Platform by ceasing to use the Platform and requesting cancellation of their Account with PS Online Styling Ltd by emailing help@psonlinestyling.com. However, any ongoing sale and/or purchase of Goods must be completed before the termination can take effect. Once terminated, an Account cannot be reactivated except at the absolute discretion of PS Online Styling Ltd.

PS Online Styling Ltd may suspend or terminate these Terms at any time, at its sole discretion. Without limiting the above, PS Online Styling Ltd may immediately suspend, terminate, or limit your access to and use of the Platform, and (where applicable) your Account or Collective Content, if PS Online Styling Ltd suspects fraudulent activity or if you are or intend to breach these Terms.

If PS Online Styling Ltd terminates your access due to your material breach of these Terms, or failure to remedy a non-material breach within five (5) days of being notified, the termination will take effect immediately.

In the event of termination, PS Online Styling Ltd may take any necessary action to ensure you cease accessing or using the Platform or Collective Content, including revoking your licence and blocking your access.

Members are not entitled to compensation for any purchases or Sales Listings canceled as a result of the suspension, deactivation, or termination of their Account.

18. Warranty and Limitation of Liability

To the maximum extent permitted by law, PS Online Styling Ltd makes no warranty or representation regarding the suitability of the Platform, Services, Collective Content, Sales Listings, the sale and/or purchase of Goods, or the use of the Platform and its Services for any specific purpose.

PS Online Styling Ltd does not provide any express or implied warranties under these Terms and Conditions in relation to the Services.

To the fullest extent permitted by law, PS Online Styling Ltd will not be liable to Members for any direct losses, damages, or fines, penalties, taxes, exemplary or punitive damages, liquidated damages, or indirect or consequential loss, including loss of revenue, profits, or any other commercial or economic loss, legal costs, or data corruption, arising in connection with the Platform, Services, Collective Content, Sales Listings, the sale or purchase of Goods, or use of the Platform.

If PS Online Styling Ltd is liable under applicable consumer protection law (such as the Consumer Guarantees in Australia), its liability is limited to one or more of the following, at its discretion:

Replacing the Services or supplying equivalent Services;
Paying the cost of replacing the Services or acquiring equivalent Services;
Paying the cost of repairing the Services.

PS Online Styling Ltd’s liability for any loss or damage arising out of these Terms, the Platform, Services, Collective Content, Sales Listings, or transactions is reduced to the extent that the loss or damage is caused or contributed to by you. This reduction applies whether liability is based on contract, tort (including negligence), statute, or otherwise.

In no event will PS Online Styling Ltd’s liability exceed the amount of commission (15% of the final sale price) paid for any Sales Listing.

19. Indemnity

You assume full responsibility for your use of the Platform, Services, Collective Content, Sales Listings, and the sale and/or purchase of Goods. You agree to indemnify and hold harmless PS Online Styling Ltd, its agents, employees, and assigns from any claims, lawsuits, damages, or expenses (including but not limited to solicitor’s fees on an indemnity basis) arising from your actions or interactions on the Platform.

20. Disputes Related to the Services

If you have a dispute concerning the Services provided by PS Online Styling Ltd, please contact us at support@psonlinestyling.com and attempt to resolve the issue with us in the first instance.

21. Disputes Between Members

PS Online Styling Ltd is not the owner of the Goods and is not a party to any sale or purchase of Goods between Members. Any disputes between Members must be resolved directly between them.

If you use PayPal to pay for Goods or receive money for Goods, you may be eligible for PayPal’s Buyer or Seller Protection.

If you pay for Goods or receive payment in cash, you will not be covered by PayPal’s Buyer or Seller Protection.

Disputes involving PayPal will be governed by PayPal’s terms of service, which you would have agreed to when setting up your PayPal account.

PS Online Styling Ltd makes no representations or warranties regarding PayPal’s resolution of any disputes. PayPal is only one option for dispute resolution, and nothing in these Terms limits a Member’s rights under the law.

The Seller’s Goods may be covered by guarantees under the Australian Consumer Law, and you may be entitled to a replacement, refund, or compensation for any reasonably foreseeable loss or damage if the Goods are found to be defective. For second-hand Goods, factors such as age, price, and condition will be considered.

22. Links

The Platform may contain links to third-party websites or resources. You acknowledge and agree that PS Online Styling Ltd is not responsible or liable for the availability or accuracy of such websites or resources, or the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by PS Online Styling Ltd of those websites, resources, or the content, products, or services available from them. You acknowledge that you are solely responsible for and assume all risks arising from your use of any such websites, resources, or the Collective Content, products, or services available from those websites or resources.

23. Amendments

PS Online Styling Ltd reserves the right, at its sole discretion, to amend these Terms and/or the Platform at any time. Any amendments will take effect from the commencement of the following calendar month. By continuing to access or use the Platform after these Terms have been modified, you agree to be bound by the amended Terms.

24. General Provisions

If any part of a provision in these Terms is deemed void, unenforceable, or illegal in any jurisdiction, that part will be severed for that jurisdiction. The rest of these Terms will remain fully in effect, and the validity or enforceability of that provision in any other jurisdiction will not be affected. This clause does not apply if severing the provision alters the basic nature of these Terms or is contrary to public policy.

You may not assign or transfer these Terms without prior written consent from PS Online Styling Ltd.

A failure by PS Online Styling Ltd to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. A waiver of any right or provision will only be effective if in writing and signed by an authorized representative of PS Online Styling Ltd.

These Terms are governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of that jurisdiction.

24. Privacy Policy

You may refer to the PS Online Styling Ltd Privacy Policy available on the Site.

26. Additional Terms

These Terms are subject to any additional terms expressed as ‘policies’ or advertised on the Platform by PS Online Styling Ltd.

Any terms stated in your sale and/or purchase of Goods will form part of your agreement with another Member.

27. Definitions and Interpretation

In these Terms:

“Account” means the Member account used by the Member to sign up to the Site and receive the Services.
“Australian Consumer Law” means the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth).
“Buyer” means a Member who requests and/or accepts to purchase Goods from a Seller.
“Collective Content” means the Materials and the Member Content.
“Consumer Guarantee” means a consumer guarantee under Part 3-2, Division 1 of the Australian Consumer Law.
“Goods” means the Goods of the Seller to be sold by the Seller and/or purchased by the Buyer.
“GST” has the meaning it holds in the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
“Intellectual Property” means any and all items in which Intellectual Property Rights exist or may exist in the future, whether registered or unregistered, connected with the Materials and/or Member Content.
“Intellectual Property Rights” means all current and future registered and unregistered rights, renewals, and extensions in respect of copyrights, marks, trade secrets, patents, inventions, and other intellectual property rights.
“Materials” means the copyright of the Platform’s content, including software, design, text, and graphics, the layout of the Site and Platform, and all other Intellectual Property connected to the Site and Platform.
“Member” means an unregistered user of the Platform, or a person/entity that registers and has an Account, including but not limited to Sellers and Buyers.
“Member Content” means all content that a Member posts, uploads, submits, or includes in their Account, Sales Listing, or otherwise on the Platform.
“Platform” means the Site, mobile apps, or other interfaces provided by PS Online Styling Ltd to offer its Services.
“Policy or Policies” means the policy or policies displayed on the Site and updated periodically.
“Sales Listing” means a listing of Goods from the Seller, which is an offer to sell Goods to Members.
“Sales Listing Fee” refers to the commission fee (15% of the sale price) applied to Sales Listings and use of the Services.
“Seller” means a Member who offers and/or accepts to sell Goods to a Buyer.
“Services” refers to the online platform services provided by PS Online Styling Ltd, which connects Sellers and Buyers for the sale and purchase of Goods.
“Site” means the website at http://www.psonlinestyling.com and any other sites through which PS Online Styling Ltd provides its Services.
“Tax” or “Taxes” refers to any sales tax, GST, duties, or other similar taxes and fees a party may be required to collect and remit to governmental agencies.

“Terms” means these terms and conditions of service.
